General Terms and Conditions

1. INTRODUCTION
1.1 Operator
These General Terms and Conditions (“Terms”) govern the contractual relationship between:

and any individual, company, creator, organisation, or authorised representative purchasing a Campaign through SocialPrime.uk.
Throughout these Terms, “SocialPrime”, “Company”, “we”, “us”, and “our” refer to COOLINFLUENCER s.r.o.
1.2 Acceptance of the Terms
By placing an Order, the Customer confirms that they:
a) have read and understood these Terms;
b) agree to be bound by these Terms;
c) have provided accurate and complete information; and
d) have the legal authority to enter into this Agreement.
The version of these Terms in effect at the time of purchase applies to the relevant Order.
1.3 One-Time Campaigns
All standard SocialPrime Campaigns are provided as one-time purchases unless explicitly stated otherwise during checkout.
There are no hidden subscriptions, automatic renewals, or recurring charges connected with a standard Campaign.
2. DEFINITIONS
2.1 Customer
“Customer”, “you”, and “your” refer to the individual, company, creator, organisation, or authorised representative purchasing or using a Campaign.
2.2 Campaign
“Campaign” refers to all promotional activities provided by COOLINFLUENCER s.r.o. through SocialPrime, including content visibility, public profile insights, and promotional support through our private partner network.
2.3 Order
“Order” means a Campaign request submitted by the Customer through the SocialPrime checkout process.
2.4 Start of Execution
“Start of Execution” means the moment the Company accepts the Order and begins preparing, processing, configuring, allocating, distributing, or otherwise performing the Campaign.
3. OPERATION OF THE CAMPAIGN
3.1 Nature of the Campaign
SocialPrime provides goal-based digital promotion Campaigns for publicly available profiles and content.
Depending on the selected Campaign Setup and Campaign Goal, the Campaign may include:
a) AI-assisted analysis of publicly available profile information;
b) profile and audience matching;
c) Campaign configuration;
d) content visibility support;
e) distribution through selected networks;
f) cooperation with creators, influencers, communities, mobile platforms, media channels, or other promotional partners;
g) manual promotional support; and
h) Campaign monitoring and optimisation.
3.2 Private Partner Network
We enhance the visibility of publicly available profiles and content through our private partner network.
Our private partner network may include creators, mobile platforms, influencer groups, selected applications, digital communities, media channels, niche communities, and other relevant promotional resources.
The Campaign Goal selected during checkout defines the focus and intended scope of the Campaign delivered through these promotional channels.
3.3 Campaign Configuration
The Campaign Setup and Campaign Goal selected and confirmed during checkout define the Campaign purchased by the Customer.
SocialPrime configures and delivers the Campaign toward the selected Campaign Goal through an appropriate combination of networks, creators, communities, platforms, and promotional channels.
The exact Campaign configuration may vary depending on the selected platform, profile and content, geographic or language preferences, platform conditions, and private partner network availability.
3.4 No Account Access
SocialPrime does not require the Customer’s social media password, authentication code, recovery code, or direct access to the Customer’s account.
The Customer must never provide sensitive login credentials to SocialPrime or to any person claiming to represent us.
3.5 Campaign Approach
SocialPrime does not use bots, engagement scripts, or unauthorised automated actions to generate interactions or operate Customer accounts.
AI-assisted tools may be used for public-profile analysis, Campaign matching, configuration, monitoring, and optimisation.
Campaign promotion is supported through publicly available profile information, selected distribution networks, creators, communities, applications, media platforms, and other relevant promotional partners.
3.6 Public Profile Requirement
The relevant profile and content must remain publicly accessible throughout the Campaign.
The Campaign may be delayed, paused, interrupted, or prevented if the Customer:
a) makes the profile private;
b) changes the username or profile URL;
c) deletes, archives, or restricts the relevant content;
d) deactivates the account;
e) blocks access required for Campaign delivery; or
f) is restricted or suspended by a third-party platform.
4. ORDERS, PRICES, AND PAYMENTS
4.1 Orders
By placing an Order, the Customer confirms the Campaign Setup and Campaign Goal selected during checkout, provides the required public profile or content information, accepts these Terms, and completes payment.
An Order is considered accepted once payment has been successfully confirmed and the Company begins processing the Campaign.
The Company may refuse or cancel an Order if:
a) the information provided is incomplete or incorrect;
b) the profile or content is not publicly accessible;
c) the Campaign is unavailable;
d) the Order appears fraudulent or unauthorised; or
e) the requested Campaign would be unlawful.
If the Company cancels an Order before Start of Execution, the payment will be refunded to the original payment method.
4.2 Customer Responsibility
The Customer is responsible for verifying the selected platform, username, profile or content link, Campaign Setup, and Campaign Goal before completing payment.
Once Start of Execution has occurred, the Campaign cannot normally be redirected to another profile, content item, platform, or recipient.
4.3 Prices and Payments
The applicable Campaign price is displayed during checkout before payment is confirmed.
Prices include applicable taxes unless expressly stated otherwise.
All standard Campaigns are provided as one-time purchases unless explicitly stated otherwise during checkout. There are no hidden subscriptions, automatic renewals, or recurring charges.
Payments are processed through secure third-party payment providers. SocialPrime does not normally receive or store the Customer’s complete payment card details.
By completing payment, the Customer confirms that they are authorised to use the selected payment method and that the payment and billing information provided are accurate.
5. DELIVERY AND CAMPAIGN PERFORMANCE
5.1 Start of Campaign Delivery
Campaign delivery normally begins after payment confirmation and receipt of all information required to perform the Campaign.
5.2 Delivery Timeframes
Any delivery time, activation time, completion estimate, or delivery speed displayed on the website is indicative unless explicitly confirmed otherwise in writing.
Campaign delivery is normally gradual and may take place in stages.
Delivery speed and Campaign timing may vary depending on:
a) the selected platform;
b) the Campaign Setup;
c) the Campaign Goal;
d) profile and content eligibility;
e) content quality and niche relevance;
f) geographic or audience availability;
g) platform updates, restrictions, or technical conditions; and
h) private partner network and promotional channel availability.
Gradual, variable, or temporarily interrupted delivery does not by itself mean that the Campaign is defective or incomplete.
5.3 Factors Affecting Campaign Results
Campaign results may depend on factors outside the reasonable control of the Company, including:
a) content quality;
b) posting consistency;
c) niche relevance;
d) audience interest;
e) profile history and activity;
f) competition;
g) geographic and language targeting;
h) Customer activity;
i) platform algorithms;
j) moderation or security systems; and
k) changes introduced by third-party platforms.
5.4 No Guarantees of Performance
Campaign Goals define the intended focus and scope of each Campaign.
They do not guarantee a specific final follower count, engagement level, ranking, revenue, monetisation eligibility, or long-term retention.
Results may vary depending on profile activity, content quality, niche relevance, audience interest, posting consistency, partner availability, and third-party platform conditions.
6. CUSTOMER OBLIGATIONS AND PROHIBITED USE
6.1 Customer Obligations
The Customer agrees to:
a) provide accurate and complete information;
b) keep the relevant profile and content publicly accessible;
c) ensure that submitted content is lawful;
d) hold all necessary rights and permissions for the submitted profile and content;
e) comply with applicable laws;
f) comply with the rules and terms of the relevant social media platforms;
g) cooperate reasonably with Campaign delivery; and
h) use the Campaign only for legitimate purposes.
The Customer remains responsible for their profile, content, account activity, business decisions, and use of Campaign results.
6.2 Prohibited Use
The Customer must not:
a) use a Campaign for unlawful, fraudulent, abusive, or harmful purposes;
b) promote illegal products, services, or content;
c) infringe intellectual property, privacy, publicity, or other third-party rights;
d) provide stolen or unauthorised payment information;
e) attempt to gain unauthorised access to the website, systems, or private partner network;
f) interfere with or damage the website or Campaign infrastructure;
g) resell, redistribute, or sublicense a Campaign without written permission;
h) impersonate another person or organisation;
i) initiate a knowingly false or fraudulent payment dispute; or
j) use a Campaign in a manner that violates applicable platform rules or laws.
A material breach of this section may result in suspension or termination of the Campaign.
7. THIRD-PARTY PLATFORMS
7.1 Independent Provider
SocialPrime is an independent Campaign provider.
The Company is not affiliated with, sponsored by, endorsed by, approved by, or officially connected with Instagram, Meta, TikTok, YouTube, Google, X, Spotify, Twitch, or any other third-party platform unless expressly stated otherwise.
7.2 Platform Rules
Third-party platforms operate independently from the Company and control their own:
a) terms and policies;
b) algorithms;
c) moderation systems;
d) security procedures;
e) functionality;
f) displayed metrics;
g) eligibility requirements; and
h) enforcement decisions.
These platforms may change their rules, systems, or functionality at any time.
Such changes may affect Campaign availability, delivery timing, visibility, or publicly displayed results.
7.3 Customer Responsibility
The Customer is responsible for ensuring that their profile, content, and use of the Campaign comply with applicable laws and the rules of the relevant platform. SocialPrime is not responsible for actions independently taken by third-party platforms.
8. CANCELLATION, WITHDRAWAL, AND REFUNDS
8.1 Refund Policy
The Refund Policy published on SocialPrime.uk forms part of these Terms.
Cancellation and refund eligibility are governed by these Terms, the Refund Policy, and applicable mandatory law.
8.2 Cancellation Before Start of Execution
If Start of Execution has not occurred, the Customer may cancel the Order and receive a full refund to the original payment method.
The Customer may alternatively request equivalent credit or another Campaign, subject to agreement with the Company.
Where information required for Campaign delivery is missing, execution may remain pending until the Customer provides the necessary information.
8.3 Immediate Campaign Execution
SocialPrime Campaigns are designed for immediate or rapid activation and may begin shortly after payment confirmation.
Where the Customer has expressly requested performance to begin during an applicable statutory withdrawal period, SocialPrime may begin preparing and performing the Campaign before that period expires.
If an eligible consumer withdraws after Campaign execution has started but before Full Performance, the Customer may be required to pay a proportionate amount for the Campaign already performed, where permitted by applicable law.
The statutory right of withdrawal is lost upon Full Performance only where the legally required conditions, including prior express request and acknowledgement, have been satisfied.
8.4 After Start of Execution
Once Start of Execution has occurred, cancellation and refund eligibility are governed by the Refund Policy and applicable law.
An Order cannot normally be cancelled solely because the Customer changed their mind, placed the Order accidentally, provided incorrect Campaign information, or expected a result that was not guaranteed.
8.5 Completed Campaigns
Once a Campaign has been fully performed, it is non-refundable under the Company’s commercial Refund Policy.
Campaign completion is determined by the performance of the agreed promotional activities, not by achieving or permanently retaining a specific follower count, engagement level, ranking, revenue, monetisation status, or other performance metric.
Nothing in this section excludes mandatory rights relating to defective or non-conforming services, duplicate payments, or genuinely unauthorised transactions.
8.6 Service Issues and Remedies
Where the Company fails to perform the Campaign in material accordance with the selected Campaign Setup and Campaign Goals, the Company may provide an appropriate remedy, including:
a) correction;
b) completion or re-performance;
c) a reasonable price reduction; or
d) a refund where legally required and appropriate.
8.7 Refund Procedure
To request cancellation, correction, or a refund, the Customer must contact:
The Customer must provide:
a) the email address used for the Order;
b) the Order ID;
c) the relevant public profile or content;
d) a clear explanation of the request; and
e) relevant evidence where reasonably required.
Eligible refunds are processed without undue delay and within any applicable statutory timeframe. Processing time may depend on the payment provider and issuing bank.
Nothing in these Terms limits mandatory consumer rights.
9. LIABILITY, INTELLECTUAL PROPERTY, AND PRIVACY
9.1 Reasonable Care and Skill
The Company will perform each Campaign with reasonable care and skill and in material accordance with the Campaign Setup and Campaign Goal accepted during checkout.
9.2 Limitation of Liability
To the maximum extent permitted by law, the Company is not liable for:
a) indirect or consequential loss;
b) loss of profit, revenue, anticipated savings, or business opportunity;
c) reputational loss;
d) loss caused by incorrect Customer information;
e) loss caused by changes made by the Customer to a profile or content;
f) third-party platform decisions, restrictions, outages, or adjustments; or
g) circumstances outside the Company’s reasonable control.
Where permitted by law, the Company’s total liability relating to an individual Order is limited to the amount paid by the Customer for the Campaign giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limits mandatory consumer rights.
9.3 Intellectual Property
All intellectual property rights relating to the SocialPrime website, branding, text, design, systems, methods, graphics, and Company materials belong to the Company or its licensors.
The Customer may not copy, reproduce, reverse-engineer, sell, redistribute, or commercially exploit Company materials without prior written permission.
9.4 Customer Content
The Customer retains ownership of their content.
The Customer grants the Company a limited right to access, process, analyse, and use submitted or publicly available profile and content information only as reasonably necessary to prepare and perform the Campaign, provide support, prevent misuse, and comply with legal obligations.
The Company may share limited publicly available profile or content information with selected Campaign partners where reasonably necessary for Campaign delivery. Passwords, authentication codes, private messages, and restricted account data are never shared.
9.5 Privacy
Personal data is processed in accordance with the SocialPrime Privacy Policy and applicable data protection laws.
10. GENERAL PROVISIONS
10.1 Service Availability and Force Majeure
The Company does not guarantee that the website, private partner network, Campaign channels, payment providers, or third-party platforms will always be uninterrupted or error-free.
The Company is not responsible for delays or failures caused by events outside its reasonable control, including technical failures, cyber incidents, internet outages, payment-provider disruptions, platform changes, infrastructure failures, government action, or natural disasters.
10.2 Complaints and Support
For support or complaints, the Customer should contact:
The Customer should include the Order ID, email address used for the Order, relevant profile or content link, and a clear description of the issue.
The Company aims to respond within a reasonable timeframe, normally within three business days.
10.3 Payment Disputes
Customers are encouraged to contact the Company and provide a reasonable opportunity to investigate and resolve an issue before initiating a payment dispute.
This does not prevent the Customer from exercising any legal or contractual right.
In the event of a chargeback or payment-provider investigation, the Company may provide relevant evidence, including Order records, checkout information, acceptance of these Terms, Campaign logs, timestamps, delivery records, profile information, and communications.
10.4 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
10.5 Changes to These Terms
The Company may update these Terms to reflect changes in law, Campaign operation, payment requirements, security needs, platform conditions, or business operations.
The version accepted at the time of purchase continues to apply to the relevant Order.
10.6 Governing Law and Jurisdiction
These Terms are governed by the laws of the Czech Republic.
Where the Customer is a consumer, this choice of law does not deprive the Customer of mandatory consumer protections available under the laws of their country of habitual residence.
Courts of the Czech Republic shall have jurisdiction unless mandatory consumer or procedural rules provide otherwise.
10.7 Entire Agreement
These Terms, together with the Campaign description, Refund Policy, Privacy Policy, and information accepted during checkout, constitute the entire Agreement between the Customer and the Company concerning the relevant Campaign.
